1. Products and Services.
This Agreement (the "Agreement") is a legal agreement between you (collectively “you”, “your”) and Joju Foods LLC and our subsidiaries or other affiliates (collectively, “Joju”, “we”, “us” or “our”). Your use of Joju’s baby food (“Products”) offered through Joju’s delivery service (“Service”) and our website, blog, Facebook, Instagram and other social media (collectively, “Sites”) constitutes your agreement to the terms and conditions set forth below. If you do not agree with all of the terms and conditions, do not use our Sites or the Joju Service. This Agreement is subject to change by Joju at any time, and the most current terms will be on this website. If you subscribe to the Service the then-current terms in effect shall apply.
2. Payment + Plans
Plans. When you sign up for a recurring meal plan (“Plan”), we immediately charge you for the first billing cycle followed by recurring charges based on the Plan you chose. You will have the option to choose a weekly or monthly Plan. Your subscription will be automatically renewed weekly or monthly, in accordance with the plan you choose.. You may pause or cancel your membership at any time, which will stop any future recurring charges.
Payments. You are responsible for, and agree to pay promptly, all charges to your account, including applicable taxes and purchases. All payments must be done with a debit card or credit card. We reserve the right to change the payment methods we accept at any time without notice to you. The payment method is kept in your account and will be charged at the time your order is placed until your membership is cancelled. Payment must be received before the order deadline for each delivery in order to receive delivery that week. Order deadline is indicated in the FAQ section of the website.
Pricing. Joju may change the price of a Plan, introduce a new Plan, or cancel any Plan from time to time, in its sole discretion, and without prior notice. Current pricing and fees will be reflected on the Sites. You will have the ability to review current Products, pricing and fees prior to ordering.
Orders. We make every reasonable effort to ensure that the Products you receive accurately reflect your order. However, at times, the Products you receive may vary from the products ordered due to limitations in your computing system, supply chain issues experienced by us or our suppliers, or for other reasons outside of our control. Joju makes no guarantee that all products displayed on the Sites will be available in your area at the time your order is placed. OPTION: If any material substitutions are required due to reasons beyond our control, we will make efforts to contact you prior to delivery.
Delivery. You are required to provide us with an address where orders are delivered. If your desired address is outside of our delivery area, we will notify you and refund your order. We are constantly expanding our delivery area to service as large an area as possible while maintaining freshness of our Products. Please see our Site for the most current delivery area. You must provide us with a safe place to deliver the product. We are not responsible for the cost of your order as a result of theft. You will be prompted to elect your preferred delivery option at the time your order is placed.
Food Safety. Joju uses temperature controlled methods while transporting to maintain the quality and integrity of our Product in accordance with standard industry practices. You are responsible for inspecting all Products upon delivery to confirm that the delivery reflects your order and to ensure they are in good condition and not damaged. If you have any reason to believe that any product in your delivery is not suitable for consumption, contact us at and discard the item. To maintain the quality and integrity of the products, you must immediately refrigerate all perishable products (and store at a temperature of 38 degrees Fahrenheit or below) upon delivery and follow the U.S. Department of Agriculture’s (“USDA”) instructions on refrigeration and food safety, which can be found at
4. Food, Allergies and Nutrition
OUR FOOD IS MADE IN A SANITARY, COMMERCIAL FOOD KITCHEN THAT HANDLES PEANUTS, TREE NUTS, SHELLFISH, DAIRY, EGGS, FISH, MEAT, WHEAT AND SOY. YOU UNDERSTAND AND ACKNOWLEDGE THAT OUR PRODUCTS MAY CONTAIN SUCH ALLERGENS AS AN INTENDED INGREDIENT IN THE PRODUCTS, AND THAT EVEN IF AN ALLERGEN IS NOT AN INGREDIENT IN THE PRODUCT, CROSS-CONTAMINATION MAY OCCUR. YOU ARE RESPONSIBLE FOR KNOWING ABOUT ANY FOOD ALLERGIES YOU OR YOUR CHILD MIGHT HAVE, AND WE RECOMMEND THAT YOU SEEK GUIDANCE FROM A PEDIATRICIAN BEFORE YOUR CHILD CONSUMES OUR PRODUCTS. WE ARE NOT RESPONSIBLE FOR ANY ALLERGIC OR ANY OTHER ADVERSE REACTIONS RESULTING FROM THE PRODUCTS WE PROVIDE.
WHILE WE ARE DILIGENT TO INCLUDE INGREDIENT INFORMATION AND NUTRITIONAL INFORMATION ON OUR WEBSITE AND IN EVERY DELIVERY, TYPOGRAPHICAL OR PHOTOGRAPHIC ERRORS MAY OCCUR. WE MAKE NO GUARANTEES THAT SUCH INFORMATION IS COMPLETE OR ACCURATE, OR THAT THE PRODUCTS WILL BE ALLERGEN FREE. IN THE RARE EVENT OF AN ERROR, YOUR SOLE REMEDY IS, AT YOUR OPTION EITHER (A) REPLACEMENT OF THE INCORRECT PRODUCT WITH A PRODUCT THAT COMPLIES WITH YOUR ORDER, OR (B) A REFUND OF ANY AMOUNTS PAID FOR THE PRODUCT DELIVERED IN ERROR.
YOU ARE SOLELY RESPONSIBLE FOR, AND ASSUME ALL RISKS RELATED TO, THE PROPER AND SAFE HANDLING, STORAGE, USE, AND CONSUMPTION OF THE PRODUCTS YOU RECEIVE FROM US. OUR PRODUCTS SHOULD ONLY BE CONSUMED WITH ADULT SUPERVISION. SOME PRODUCTS CONTAIN WHOLE PIECES OF FRUITS AND VEGETABLES AND SHOULD BE FED TO CHILDREN WITH CARE. THE PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOJU MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
JOJU DOES NOT WARRANT THAT ANY OF THE MATERIALS ON ITS WEBSITE ARE ACCURATE, COMPLETE OR CURRENT. FURTHER, JOJU DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS OR RELIABILITY OF INFORMATION ON ITS SITES, NOR DO WE PROVIDE ANY WARRANTIES WHATSOEVER RELATING TO ANY THIRD PARTY PRODUCTS OR ANY LINKS TO THIRD PRODUCTS LINKED TO THE SITES. FROM TIME TO TIME THE SITES MAY BE INACCESSIBLE OR INOPERABLE.
Access and Use. You will provide all equipment and services and be responsible for all data, telephone and other charges necessary to access our Sites. You agree to comply with all laws applicable to your activities on the Sites and with the terms of this Agreement. You hereby represent that you are an adult (18 years or older) and have the power and authority to enter into this Agreement and perform your obligations hereunder. You will comply with all laws applicable to your activities on our Sites and with this Agreement. At no time will you make attempts to interfere with the proper working of the Site or the Services.
Account. In order to use the Services, you will be required to set up an account by providing an email address and password. You are solely responsible for any authorized or unauthorized access to your account by any person. You agree to bear all responsibility for the confidentiality of your password and to notify us promptly of any unauthorized use of your password, at which time we shall disable your account. Until you provide us with notice of such unauthorized use, you will remain liable for any actions taken with your account.
Account Information. You agree and accept responsibility for keeping all your account information current, including address, payment information, telephone number and e-mail address for your order. All changes can be made in your account at jojufoods.com.
7. Term and Termination
This Agreement shall remain in effect for so long as an account remains open. You may terminate the Agreement for any reason upon 7 days’ notice, in accordance with this Agreement. We reserve the right, in our sole discretion and without notice, to suspend or terminate the Agreement for any or no reason, including your violation of the terms of this Agreement. Upon termination for any reason, Joju shall remove all of Your Information, including your username and password, from our system, and your right to use the Services shall immediately terminate. If Joju terminates this Agreement for cause, you agree to not attempt to re-register at a later date using a different email address and password. The following sections shall survive termination of this Agreement Section 4 (Term and Termination), 6 (Food, Allergies and Nutrition), 7 (Warranties), 8 (Limitation of Liability), 9 (Intellectual Property), 10 (Indemnification), 11 (Dispute Resolution), and 12 (General).
8. Intellectual Property
Joju owns all right title and interest in and to and all intellectual property rights connected with the Services, including but not limited to trademarks, service marks, trade secrets, copyrights, logos, labels, graphics, names, icons, and/or trade dress, whether or not registered, and including any goodwill embodied therein (“Joju Intellectual Property”). You may not remove, alter or obscure any copyright notice, trademark notice or other similar label on or incorporated into the Services or the Products. You may not use the Joju Intellectual Property for any reason except as expressly approved in writing by Joju.
9. Limitation of Liability
JOJU, ITS EMPLOYEES, OFFICERS, DIRECTORS, AFFILIATES, REPRESENTATIVES, AND SERVICE PROVIDERS (“JOJU PARTIES”) SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS, INCLUDING WITHOUT LIMITATION DAMAGES FOR HEALTH-RELATED ISSUES, MEDICAL COSTS, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOST PROFITS OR ANY OTHER DAMAGES OR LOSSES, WHETHER OR NOT FORESEEABLE AND/OR IF JOJU HAD BEEN ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER CAUSED BY TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE. JOJU SHALL NOT BE RESPONSIBLE FOR ANY DAMAGES INCURRED FROM YOUR USE OF OR INABILITY TO ACCESS THE SITE, OR FROM EVENTS OUTSIDE OF OUR REASONABLE CONTROL, INCLUDING DELETIONS OR MALFUNCTIONS OF THE SITE OR ANY ELECTRONIC COMMUNICATIONS.
JOJU’S MAXIMUM LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNTS PAID BY YOU IN THE THIRTY (30) DAYS PRIOR TO THE ALLEGED EVENT, ACT, OR OMISSION GIVING RISE TO THE CLAIM. THE LIMITATION OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold Joju Parties harmless from any and all suits, actions, legal or administrative proceedings, claims, demands, damages, liabilities, and expenses, including attorney's fees and costs, arising in connection with a violation of this Agreement by you or through use of your account, or resulting from your access to the Sites.
11. Dispute Resolution
The parties shall work in good faith to resolve any disputes hereunder. Should such efforts fail, any disputes hereunder relating to the Agreement, Services or the Products, shall be adjudicated by final and binding arbitration, in accordance with the rules of the American Arbitration Association rather than in a court of law. Any disputes hereunder relating to JoJu’s Intellectual Property, including disputes containing any trademarks, shall be brought in a court of competent jurisdiction.
Choice of Law. This Agreement shall be governed by the laws of the State of California and the United States without regard to conflicts of laws provisions thereof, and without regard to the United Nations Convention on the International Sale of Goods.
Notices. Any notices hereunder shall be sent electronically, if sent to Joju, to and if sent to you, to the email address associated with your account. Notices shall be deemed sent upon dispatch.
Severability. If any part of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, then such part or parts shall have no force and effect and the remainder of the Agreement shall remain in effect.
Waiver. Failure by either party to enforce a provision of this Agreement shall not be deemed a waiver of any other provision. A waiver will not be effective unless in writing signed by the waiving party.
Your privacy is important to us. It is Joju's policy to respect your privacy regarding any information we may collect from you across our website, and other sites we own and operate.
